Official Rules for the DUNCAN HINES® “National Bake Sale” Contest

NO PURCHASE NECESSARY.

1. Eligibility: This Contest is only open to legal U.S. residents in the 50 United States. To be eligible to enter, entrants must have participated in the "National Bake Sale Contest " to benefit CancerCare for Kids®. Pinnacle Foods Group, LLC will verify with CancerCare for Kids that entrants participated in a Cupcakes for a Cause™ bake sale prior to awarding any prizes. Void in Puerto Rico, U.S. territories and where prohibited by law. Employees, officers, directors, agents, representatives and their immediate families or members of Pinnacle Foods Group, LLC, Bender Hammerling Group, CancerCare for Kids; their parent companies, subsidiaries; advertising; design; publicity agencies; law firms and anyone connected with the production and distribution of this Contest are ineligible to participate. Previous winners from any other Pinnacle Foods Group, LLC contests held in 2007 are ineligible. This contest is limited to one entry per person per e-mail. An individual may only enter the contest once (i.e. if an individual enters the contest s(he) may not also enter in the group category). If multiple entries are received from the same individual, entry received earliest will be judged.

2. Contest Period: The Contest Period is from 12:01 AM Eastern Standard Time, EST on May 14th, 2008 through 11:59 PM, EST on November 21, 2008.

3. How to Enter: There are two categories in which to enter: individual and group. In both cases, entrants share in 50 words or less, the story about their bake sale. Individual entries: Enter your 50-word entry along with a photograph of your cupcake(s) by logging onto www.duncanhines.com, clicking on “individual,” and completing the online registration form, or mail your individual entry to "Duncan Hines National Bake Sale, Individual Category", c/o BHGPR, 546 Valley Road Upper Montclair, NJ, 07043, postmarked no later than November 21, 2008. Online entries must be received by November 21, 2008. Proof of e-mail does not constitute proof of delivery. Group entries: Enter your group’s 50-word entry along with a photo of your cupcake(s) by logging onto www.duncanhines.com, clicking on “group,” and completing the online registration form, or mail your entry to "Duncan Hines National Bake Sale, Group Category", c/o BHGPR, 546 Valley Road Upper Montclair, NJ, 07043, postmarked no later than November 21, 2008. Groups may consist of no more than twenty (20) individuals. Online entries must be received by November 21, 2008. Proof of e-mail does not constitute proof of delivery. Group entrants are barred from also entering as individuals.

4. Content and Ownership of Entries: All essays and photographs of cupcakes (the “Entry Photograph,” and collectively, the “Entry”) become the exclusive property of Sponsor and will not be returned. Entry a) may not have been previously published or won any other prize or award; b) must be the exclusive original work of the entrant(s), true and verifiable; c) must, in Sponsor’s sole discretion, be in keeping with Sponsor’s image and the image of CancerCare for Kids; d) may not be inappropriate, offensive, libelous or defamatory, pornographic, sexually explicit, unlawful or plagiarized, harassing, or otherwise objectionable or offensive in any way, as determined by Sponsor in its sole discretion; e) may not depict any identifiable individual, defame or invade publicity or privacy rights of any person, living or deceased, or otherwise infringe upon any person’s personal or property rights or the rights of any third party; f) may not contain commercial or corporate advertising, including, but not limited to corporate logos, brand names, and/or slogans, other than those relating to Duncan Hines or CancerCare for Kids; and g) may not include any viruses, worms, corrupt files, Trojan horses or other forms of corruptive code or content that may harm or compromise the Contest Site and/or the proper conduct of the Contest. By submitting Entry, entrant represents that i) (s)he has the unrestricted right to submit the Entry; and ii) the Entry does not infringe upon any third party’s proprietary or other rights. By entering, each entrant unconditionally and irrevocably assigns and transfers to Sponsor any and all rights which (s)he now has or may in the future have in and to the Entry, including, but not limited to, copyrights and moral rights, in any medium whatsoever now known or later invented. Sponsor has the unrestricted, perpetual right to use, not use, alter, publish, display, post and/or transfer Entry in its sole discretion without further approval of or payment to entrant. Sponsor may feature and post selected Entries on the Contest Site from time to time in Sponsor’s sole discretion. Selections featured do not imply selection as potential prize winner.

5. Winner Selection: Individual and group prize winners will be determined based on creativity and inspiration, equally weighed, by an independent judging organization whose decisions are final in all matters relating to this promotion and will conduct winner’s selection and verification. Sponsor will attempt to notify all potential winners by e-mail one time only on or around December 15th, 2008. Potential prize winners, or the parents or legal guardians of potential prize winners who are under the age of majority under the laws of their state of residence, will be required to sign and return an affidavit of eligibility and liability/publicity release within 14 days of notification or prize will be awarded to alternate winner. If one or more group prize winner fails to return an affidavit of eligibility and liability/publicity release as required his/or her prize will be forfeited but prizes will be awarded to other group members who return the affidavit of eligibility and liability/publicity release in a timely fashion.

6. Prizes: Prizes will be awarded to one group, one individual, and ten (10) finalists (five (5) individual finalists and five (5) group finalists). All prizes will be awarded (assuming a sufficient number of entries). Each individual in the “Duncan Hines National Bake Sale Contest” grand prize group winner (groups are limited to no more than 20 members) will receive a $100 US Savings Bond and a Cuisinart® Power Select™ 7-Speed Electronic Hand Mixer (SRP $49.95). One individual grand prize winner will receive a $500.00 US Savings Bond and a Cuisinart® 5.5 Quart Stand Mixer (SRP $349.99). Each individual member of five group finalist winners and five individual finalist winners will receive $25.00 US Savings Bonds. All finalists and winners will also receive a Duncan Hines t-shirt.

7. General: No copies or mechanical reproductions will be accepted. All Entries become the property of Sponsor upon submittal and none will be returned. Sponsor is not responsible for lost, late, stolen, illegible, incomplete, damaged, garbled, corrupted, postage due, misdirected or incorrect entries, mail, e-mail or communications. Neither Sponsor nor its agents are responsible for errors, omissions, interruptions, deletions, defects or delays in operations or transmission of information, in each case whether arising by way of technical, hardware, software or communications device failures of any kind, lost or unavailable network connections, incomplete, garbled or delayed computer transmissions, whether caused by Sponsor, entrants or by any of the equipment or programming associated with or utilized in this promotion or by any human or technical error which may occur in the processing of entries or which may damage an entrant’s computer system or limit an entrant’s ability to participate in this promotion. Sponsor, judges and its and their respective agents are not responsible for electronic communications which are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s e-mail account to receive e-mail messages. Entry constitutes permission, where lawful, to use name and/or likeness and/or voice of any winner in any manner by the Sponsor, or its agents, without further compensation. All individual entrants and each individual comprising a group entrant agree to be bound by these Official Rules. Participants are responsible for all costs or charges involved in accessing the World Wide Web and warrant that the cost of accessing the Internet, if any, is part of a larger agreement with an Internet Service Provider or some other means, and that the cost of this access and/or the time spent, if any, to configure their website is not an incremental cost in order to participate in the contest. Sponsor is not responsible for those who cannot access the Internet or cannot click-through for any period of time regardless of technical, hardware, software, telephone, Internet, virus contamination, or network problems, for delay, failure or malfunction for any reason. Sponsor reserves the right to cancel or modify the Contest if in Sponsor's sole determination it believes that the integrity of the Contest has been, or could be compromised or that the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes. Sponsor reserves the right to disqualify any entrant from the Contest if in Sponsor's sole judgment entrant has not complied with these Official Rules. An entrant’s Entry will also be disqualified, at the sole discretion of Sponsor, if the entrant attempts (i) to enter the Contest through any means other than as described in these Official Rules; or (ii) provides information that is inaccurate or fraudulent; or (iii) attempts to disrupt the Contest or circumvent the terms and conditions of these Official Rules. Sponsor, judges and its and their respective parent companies, subsidiaries, affiliates, directors, officers, professional advisors, employees and agencies will not be responsible for: (a) any late, lost, misrouted, illegible, garbled or distorted or damaged transmissions or entries; (b)communications or electronic hardware, software, network, Internet, or other computer- or communications-related malfunctions or failures; (c) any Contest disruptions, injuries, losses or damages caused by events beyond the control of Sponsor, or (d) any printing or typographical errors in any materials associated with the Contest. Only the number of prizes listed in the Official Rules will be awarded. If prize or prize notification is returned as undeliverable or Sponsor cannot contact potential winner for any reason, prize will be forfeited and an alternate winner selected. By accepting prize, winner agrees that the Sponsor, its parent company, subsidiaries, affiliates or agencies shall have no liability whatsoever for any injuries or damage incurred in whole or part from participation in this promotion. All federal, state and local taxes on prizes are the responsibility of the winners. Void where prohibited, restricted or limited. Subject to all Federal, State and Local laws and regulations. CAUTION: ANY ATTEMPT BY ANY ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Residents of WA and VT may omit return postage. Requests must be received by December 31, 2008.
